Property Sales & Services Agreement

Agreement Overview

These Terms and Conditions ("Agreement") govern the relationship between the real estate agency ("Company", "We", "Us") and the client ("Client", "You") for all real estate services including property sales, purchases, rentals, and related services.

1. Definitions

Key Terms:

  • "Property" - Any real estate including land, buildings, and fixtures
  • "Client" - Any individual or entity engaging our services
  • "Services" - All real estate related services provided by the Company
  • "Transaction" - Any property sale, purchase, lease, or rental agreement
  • "Commission" - Fee payable to the Company for successful transactions

2. Services Provided

For Sellers

  • • Property valuation and market analysis
  • • Marketing and advertising
  • • Showing coordination
  • • Negotiation assistance
  • • Transaction management

For Buyers

  • • Property search assistance
  • • Market research and analysis
  • • Property viewing arrangements
  • • Offer preparation and negotiation
  • • Closing coordination

3. Client Obligations

Client Responsibilities:

3.1 Information Accuracy: Provide accurate and complete information about properties, financial status, and requirements.

3.2 Property Access: For sellers, provide reasonable access to properties for showings and inspections.

3.3 Financial Qualification: For buyers, provide proof of financial qualification when requested.

3.4 Communication: Maintain regular communication and respond promptly to inquiries.

3.5 Exclusive Representation: Honor any exclusive representation agreements entered into.

4. Commission and Fees

Commission Structure:

4.1 Sale Transactions: Commission rate will be specified in the listing agreement, typically 5-7% of sale price.

4.2 Rental Transactions: Commission equivalent to one month's rent, unless otherwise agreed.

4.3 Payment Terms: Commission payable upon successful closing/completion of transaction.

4.4 Additional Fees: Marketing expenses, photography, and advertising costs may apply as agreed.

5. Liability and Disclaimers

5.1 Information Accuracy: While we strive for accuracy, we do not guarantee the completeness or accuracy of property information, market data, or third-party reports.

5.2 Property Condition: Clients are responsible for conducting independent inspections and due diligence regarding property condition.

5.3 Market Conditions: We are not liable for market fluctuations, changes in property values, or economic conditions affecting transactions.

5.4 Third Parties: We are not responsible for the actions or omissions of lenders, inspectors, appraisers, or other third parties.

5.5 Limitation of Liability: Our total liability shall not exceed the commission received for the specific transaction.

6. Termination

6.1 Termination by Client: May terminate with 30 days written notice, subject to existing contractual obligations.

6.2 Termination by Company: May terminate immediately for breach of agreement or non-payment of fees.

6.3 Effect of Termination: Does not affect rights and obligations accrued prior to termination.

6.4 Post-Termination Commission: Commission may still be due for transactions initiated during the agreement period.

7. Privacy and Confidentiality

7.1 Client Information: We maintain confidentiality of client personal and financial information.

7.2 Property Information: Property details may be shared with potential buyers/tenants and marketing platforms.

7.3 Data Protection: We comply with applicable data protection and privacy laws.

7.4 Marketing Consent: By engaging our services, clients consent to property marketing and promotion.

8. Dispute Resolution

8.1 Mediation: Disputes shall first be addressed through mediation with a qualified mediator.

8.2 Arbitration: If mediation fails, disputes will be resolved through binding arbitration.

8.3 Governing Law: This agreement is governed by the laws of the jurisdiction where services are provided.

8.4 Legal Fees: The prevailing party may be entitled to recovery of reasonable attorney fees.

9. General Provisions

9.1 Entire Agreement: This document constitutes the entire agreement between parties, superseding all prior agreements.

9.2 Amendments: Changes must be made in writing and signed by both parties.

9.3 Severability: If any provision is deemed invalid, the remainder of the agreement remains in effect.

9.4 Force Majeure: Neither party is liable for delays due to circumstances beyond reasonable control.

9.5 Assignment: This agreement may not be assigned without written consent of both parties.
